Terms of Service
Last updated
These terms apply to every agency that uses NexusPortal, and to the staff and clients it invites. Please read them alongside our Privacy Policy, which explains how we handle personal data.
1.Agreement
These terms are an agreement between you and the operator of NexusPortal(“we”, “us”) covering your use of NexusPortal. By creating a workspace or using the service, you accept them.
If you accept on behalf of an agency or other business, you confirm you have authority to bind it, and “you” means that business.
2.The service
NexusPortal gives your agency a branded workspace for contacts, conversations, pipeline and calendar, connected to a CRM account — your own, or one we host for you. We keep improving the service, so features may change; we will not remove a core feature you rely on without reasonable notice.
3.Accounts
Give accurate information when you sign up and keep it current. Keep your sign-in details secure, and tell us promptly at support@nexusportal.digital if you think your account has been misused. You are responsible for what happens under your account, including the actions of the staff and clients you invite.
4.Agencies and their clients
NexusPortal is built for agencies to offer under their own brand. When you do, the relationship with your clients is yours: you are responsible for your own terms and privacy notice towards them, for supporting them, and for any plans you sell them. We are not a party to your agreements with your clients.
Payments you take from your clients through the service are processed by Stripe and are subject to Stripe's terms as well as these.
5.Acceptable use
You must not use NexusPortal to:
- send messages or place calls without the consent the law requires, including under anti-spam and telemarketing rules;
- record calls without telling the people on them where the law requires it;
- store or send anything unlawful, deceptive, harassing or infringing;
- try to reach another agency's data, or probe, scan or test the service's security without our written permission;
- introduce malware, or overload or disrupt the service;
- copy, reverse engineer or scrape the service, except where the law expressly allows it.
We may remove content or suspend access that breaks these rules, telling you why unless the law or a risk of harm stops us.
6.Your data
You own the data you and your clients put into NexusPortal. You give us permission to host, process and transmit it only as needed to provide the service, as described in our Privacy Policy. You are responsible for having the right to use that data — including the consent of the people it is about — and for keeping your own copies of anything you can't afford to lose.
7.Third-party services
The service relies on others — the CRM, Google, Twilio, Stripe and the social networks you connect. Their own terms apply to your use of them. We are not responsible for their availability, and changes they make to their services can change or limit what NexusPortal can do with them.
8.Fees and billing
Plans are priced as shown on our pricing page when you subscribe, and are billed in advance, through Stripe, each billing period until cancelled. Prices exclude taxes unless stated otherwise.
You can cancel at any time from the billing page in your admin console; your plan stays active until the end of the period already paid for. Except where the law requires otherwise, fees already paid are not refunded.
If a payment fails we may suspend the workspace until it is settled. We will give you notice before a price change applies to your subscription.
9.Suspension and termination
We may suspend or close an account that seriously or repeatedly breaks these terms, or where the law requires us to. When an account closes, access ends; on request within 30 days we will help you export your data, after which we delete it as described in our Privacy Policy.
10.Intellectual property
We own NexusPortal and everything we build into it. While your subscription is active you may use it, and present it to your clients under your own brand, for your business. If you send us feedback, we may use it without owing you anything.
11.Disclaimers
We work to keep NexusPortal available and reliable, but it is provided “as is”. To the extent the law allows, we make no promise that it will be uninterrupted or error-free, or that messages and calls sent through third-party networks will be delivered.
12.Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential losses, or for lost profits, revenue or data. Our total liability for any claim is limited to the fees you paid us in the 12 months before it arose.
Nothing in these terms limits liability that cannot be limited by law.
13.Indemnity
You will cover our reasonable costs of claims brought by others — including your clients — that arise from your data, from your dealings with your clients, or from your breach of these terms.
14.Changes to these terms
We may update these terms. For significant changes we will email account owners at least 30 days before they take effect. Continuing to use NexusPortal after that means you accept the new terms.
